my Q is that both the companies are holding subsidiary

Please check, whether other control the composition of Board of Directors of other company.

As per Section 4 of the Companies Act, a company shall be deemed to be a subsidiary of another, if that other controls the composition of its Board of Directors.

On the basis of majority shares holding by a director of other company, you can not said that such company will be controlled by first mentioned company.

sir my problem is that one com. director hold the majority of shares .Are both the companies holding subsidiary and comply with AS3 provisions
