First of all file all pending filing to remove the all directors from defaulter list. After filing you can file Form-2 with ROC.

19 November 2012 But sir, my directors are waiting for CLSS as the charges are very high. That's y they told me to file form-32 for appointment of Manager so that after appointment we can apply DSC at his name use the same to File Form-2.My query is what is the procedure of appointment of Manager in public company. Is there reqire any consent from manager to be attached in Form-32, and are we liable to File Form -25C also as we are appointing the manager as per requirements of schedule XIII of Companies Act.Also tell me what is the tenure of appointment of Manager.Do we require Form -32 for his reappontment also after the expiry of tenure or it will be deemed as reappointed.Company is a limited company having paid up capital less than 5crores.I am very confused.
