06 December 2010 Can an additional director can be regularised in EGM if we forgets to confirm his directorship in AGM.

Please tell me the whole procedure

06 December 2010 Yes you can regularise Additional director in EGM. But that EGM should be held before the AGM.

Bcoz as per section 260 an AD can hold office only upto AGM. So there is no point of regularising him after the AGM.

06 December 2010 Undoubtedly agreed with Ankur Sir.....After the AGM, the Additional Director so appointed will cease to hold the office of Director !

Dear Friend

Appointment and resignation of Director

In this situation u can take the following route:

1. Convey a Board Meeting
2. In Board Meeting u first appoint additional director
3. Authorize new director to sign and file forms with MCA and other authorities.
4. File Form 32 of appointment of directors with concerned ROC and take approval from ROC.
5. Convey a Board Meeting for calling general Meeting for regularization of existing additional directors.
6. At EGM you regularise such additional director.
7. File Form -32 regarding change in designation of additional director.
