While calculating the limit of directorship as per sec 165 of ca2013, whether we should include the subsidiary of private company or not ??

Is one DIR -12 form enough for resignation of an existing director as well as for appointment of new director or we should file in 2 separate forms?????? Please reply as soon as possible,,,

is there any penal provisions for non-filing of DIR 11 with the register within 30 days of filing DIR 12???
Please reply as soon as possible....

18 February 2016 1)Can file both resolutions in single DIR-12 if those two events happened with in 30 days.

2)DIR-11 needs to file with in 30 days from date of resignation.To my knowledge no penalty applicable for late filing of DIR-11 but additional fee will be payable.
