06 November 2012 dear sir/madam,

if one of the director resign from the company then what could be done with those share which were held by him/her.

If director resign from the directorship then you only File Form-32 with ROC for intimating such resignation.

In case of shares, unless he transfer his shares to other person he is the member of the company. After resignation from directorship he will continue as member of the company till the date of transfer.
