19 May 2016 Non -executive directors are generally not involved in day to day business of the Company. The Companies Act, 2013 does not specifically use the word "Non - executive" director. On the other hand Independent director is a person who is independent of the day to day affairs of the company. An independent director should posses relevant expertise and related experience and expected to be a person of integrity. He should not be related to the promoters or the directors.
Part II of Schedule IV describes the Code for Independent directors.
