My client's authorized and paid up capital is Rs. 1 cr. i.e. it has already issued all the shares. Still is it required to file Statement in lieu of Prospectus in Form 62 ? Very Urgent

Yes, Statement of Lieu of Prospectus under section 44(2) of the Companies Act, 1956 is mandatory at the time of conversion of Company in Form-62.
