12 September 2012 Hi!!! Pls help me by giving Affidavit format for stating that Charge is satisfied and there is no pending charge in the merged company to ROC from Directors of existing company. Thanks a ton. Awaiting Reply.

13 September 2012 Please find the below the format of the affidavit. Hope this will serve ur purpose

AFFIDAVIT

I, …………………………………………. S/o ………………….., residing at …………………………………….., Managing Director of M/s …………………………… (hereinafter referred as ‘ The Company’, I hereby state and declare as under:

1. The Company had filed Form-17 in respect of satisfaction of Charge created for Rs………………lakhs in favour of …………………………, on …………………. vide receipt no/ SRN No…………….. before the Registrar of Companies, ……………………...

2. Whereas, on verification in MCA Portal, the said Charge is still appearing in the index of Charges.

3. We hereby declare that the said charge was satisfied fully and there is no outstanding due to the bank and the form 17 filed on ……………. is filed within due date of satisfaction of charge and which is evident from the attached Form-17 signed by the Company and the lender.

In view of the above, I as Managing Director of the Company, hereby further declare that in case any liability arising out of registration of satisfaction of charge, I hereby undertake to indemnify for any claim which may arise subsequent to the registration of satisfaction of Charge.

I solemnly state that the contents of this affidavit are true to the best of my knowledge and belief and that it conceals nothing and that no part of it is false.
