Can an employee be appointed as director??

13 May 2014 we want to appoint an employee as director but dont want to give him powers of directors. can we appoint him as director without informing to ROC?

13 May 2014 short and sweet answer is, while you can appoint an employee as director but as far as company act is concerned he shall have the same powers as any other director.

13 May 2014 no friend...a director's appointment has to be compulsorily reported to ROC.
