Dear friends,
My Company is striked by Section 383A of Companies Act, 1956 and hence eligible for appointment of CS in Whole tym employment.
Now my query is:
Can a CS in whole time employment be appointed on contract of 1 year-2years as such. Will this mean to be appointed on contractual basis. What difference it will make if he is or he is not on payroll of the Company being on contract? What is the difference in Contract employment and employment on payroll as employee of the Company? How can I safeguard myself if company compels on contract?
Please reply me ASAP.

I have never heard appointment of CS on contractual basis.
In any case u have to pass a board resolution for the appointment of CS and file form 32 with ROC with in 30 days of appointment.
Only after filing of form 32 you may consider compliance of section 383A in totality.
