Dear All,

One of my clients formed a new company & received FDI from outside india. Now shares have to be issued against FDI at fair value as per RBI norms.

My problem is how to determine the fair value since the company is new & 90% working capital is received from outside india as FDI. Should i allot them shares at the same value as we have allotted to other share holders i. e rs. 100.

our company is listed on BSE and it had already close its register of members for the AGM held on 29.09.2012 and complied with conditions u/s 154 of the Companies Act, 1956.

Now the company wants to conduct EGM for approving preferential to strategic investors. now my question is, do the company again required to close its register of members.

Such requirement is not given under ICDR regulation.

In Form 23B we have given AGM date as 31/08/2012 although it was 30/09/2012.This Form has now been approved also.Can this form be revised if yes then what are further documents need to be attached with this rectified form.

As you may know, filing of Form 23B was free until August 2012 after which it became chargeable. Now, according the above notification, no additional fee will charged until 23rd Dec 2012. Does this mean no fee will be charged or does this mean that only the form fee will be charged and there shall be no penalty for late submission until that date?

I have changed the registered office of the company and filed e form 18 with MCA.
but the date entered in the for is 7th Aug and actual date of change is 1st june. Now i want to rfile the form 18 with the date 1st june.
can i do so? if yes then please give me the procedure for the same and give format of letter if it is required to communicate with ROC.
