As per my understanding, there is no mandatory rule under Companies act to circulate minutes to all the members.

However, if as per the instruction of the Chairman, the minutes of a particlar meeting gets circulated amongst members present only, is it a non compliance of Companies act.

Can Senior Manager–Accounts sign CFO/CFO certificate required under Clause 49(V) of the Listing Agreement.

As per Listing Agreement, Audit Committee is empowered to approve the appointment of CFO (i.e., the whole-time Finance Director or any other person heading the finance function or discharging that function) after assessing the qualifications, experience & background, etc.

What will be designation of Senior Manager- Accounts after aforesaid approval of Audit Committee. Can he still be designated as Senior Manager- Accounts.

we have to file 23ac/ 23aca , 20 b , form 66, etc , there is some confusion regarding attachment this year previously we were filling excel file of document like b/s , pl , directors report, notice etc by converting it to pdf with details of director signning it and sd mentioned on it. this year Company secreatery is of view that we have to scan hard copy of all documents and attach it with above forms. kindly clear the situation this year

Dear experts, I am filling form 1 for incorporation of company. When i try to save form 1, error appears as

'xml parsing error : (error code 29), line 647, column 2 of file'

I am using Adobe reader 8, Windows 7 & proper version of JAVA is already installed. What is the solution? Is it happening because of Adobe reader 8?

My company wants to appoint first auditor in EGM, because its fails to comply with the provisions of appointment of first auditor in First Board Meeting.

So my question is, would there be any non-compliance on part of the company and do the company require to pay any late fees.

Moreover also let me know that form 23b is required to be file or not.

1. Is XBRL is compulsory or volunatary ?

2. Is there any penelty for non filling or late filling of XBRL ?

3. What documents / inforamation required for file XBRL ?

4. Company have to file XBRL for 2010-11 or for 2011-12 only (in case of incorporated before 2010-11) ?

5. What will be the cost of filling XBRL (In case of outsourcing) ?
