23 October 2012 Can Senior Manager–Accounts sign CFO/CFO certificate required under Clause 49(V) of the Listing Agreement.

As per Listing Agreement, Audit Committee is empowered to approve the appointment of CFO (i.e., the whole-time Finance Director or any other person heading the finance function or discharging that function) after assessing the qualifications, experience & background, etc.

What will be designation of Senior Manager- Accounts after aforesaid approval of Audit Committee. Can he still be designated as Senior Manager- Accounts.

Yes, a senior manager-account can sign such certificate and designation in certificate will be same as he/she hold.You can use such designation in place of CEO/CFO.
