If a public limited company accerpts unsecured loan from its directors will it amount to "Depsit: under section 58A?

a private company in its board meeting resolved that a abc document should be signed by a person x but instead it was signed by person y. now what can a company do to resolve this matter

Our company a pvt ltd one has changed its Registered office address within same jurisdiction. (In Delhi). Can anyone Plz tell me what and where notices need to be given of this change of address.

What would be due date of AGM in case of Pvt co which is incorporated on 05/07/2010.
shall it be 30/09/2011 or 18 months from date of incorporation i.e 04/01//2012 or 31/12/2012 i.e 9 months from the end financial year.
The company has not filed any annual return.
what is the suggested financial year for the company.

Please look at the following case..
In a Pvt. Ltd company and X and Y are the 2 share holders holding 50% share each. Now X wants to transfer 50% of his share to Z at the agreed per share value. My question is that, to whom the Z will pay money for those shares, I mean do Z has to transfer that money into company's account or he has to transfer money into X's account.

Can a public company accept the deposits from a Director who is ALSO A SHAREHOLDER of the company?

If not, how can it rectify the default?

Is it necessary in Board meeting held to pass the following resolutions every year regarding :
1)Approval of assets bought and sold during the year
2)Approval to directors Report
3)Approval of Accounts
4)Date of fixing the Annual General meeting

or Minutes can be prepared of every year without including these resolutions?
