Please tell me that I am having a proprietorship firm but now I want to convert it into Pvt Ltd without making any hamper in financial credential of my proprietor ship firm I want the same in the pvt ltd.Please help me as for govt tenders credential is the most important thing. A Private Limited Company want to bring money from Promotor Company (Promotors Loan) which is situated outside India. Now is it legally viable? Alos if yes, can money utilised for Working Capital Management?

Currently a Co. has two directors one executive and one two non executive. Now Co. wants to appoint 2 new directors and remove one existing Director.

Can the same i.e. appointment of two directors and removal of one director be done in one meeting or we need to do two meeting one for appointment and other for removal?

section 225(2) of the Companies Act,1956 says that, On receipt of notice of such a resolution, the Company shall forthwith send a copy thereof to the retiring auditor.

I want to know that, who will send such resolution to the company?
and complete interpretation of this sub-section.

pls give me solution as soon as possible. the company incorporated in 2004 now the company become the DORMANT company,i have to file form 61 but he said he dont have login id & password and also digital signature. pls help me as soon as possible. can i go for manually

If a charge is created in favour of wrong company, then how can we rectify it and create in favour of actual company?
