we need to pay appx 2 crore on form 5 which we already prepared DD bt while uoloading form due to some mistake the challan got generated for pay later option where it is mentioned that payment can ce made thru Credit card or internet banking n we dotn have both the facility and last date of filling such form is 26/10/2013 please suggest me the way out

ABC Pvt. Ltd. , a private ltd co. has not yet filed annual returns with ROC (Form 23AC, ACA, 20B)
The existing auditors have expressed unwillingness to be re-appointed for the next year. Can Form 23AC, ACA and form 20B be filed without new appointment of auditors ? Please advise
This is because at the moment directors are undecisive about whom to appoint as auditors.

I had filed e-Form 5 for a pvt. ltd co. for its increase in authorised share capital. But now I want to change the amount of issued, subscribed and paid up capital amount. The form has been alredy approved by the ROC. What should I do to change the details?

For the purpose of authorisation to MD under provision of section 292 of companies act, 1956, a company can specify percentage of share capital and reserves or it has to specify a certain amount.
Eg. It can be written in resolution paased at Board Meeting:-
MD of the company is authorised to give loan to other company to the extent of 100% of paid share capital or 60% of Paid up share capital and reserves whichever higher. Further 70% of such amount can be given as business Loan and other 30% as other loan. Maximum amount can be outstanding at a time should not exceed 10% of total amount.
