what is the meaning of vanishing company?? please guide me

A private limited company desires to giva loans to others for execution of certian projects.The loans are of 7 to 10 years tenure.

Please clarify whether such activity is to be regidtered with RBI under NBFC category.We do not accept deposits.

Is there any exemption for holding subsidiary companies with respect to Section 297? Please quote relevant provision.

according to the new companies bill,2013, there is a provision is made on the appointment of statutory auditors of a company for the period of 5 years.when does the provisions of this section wil be applicable on the companies .if an auditor is appointed for the year 2013 so long a period he can remain in the company? please explain this procedure?

One of my client wants to appoint my firm as an statutory auditor of a Pvt Ltd Company for Financial Year 2012-13.

My query is;
1. What are the terms, conditions and procedure followed by new auditor as per companies act, 2013?

2. Can my firm be appointed as an auditor before 5 years tenure of the current auditor? Applicability of 5 yrs tenure would be levied on this appointment or not?

Is it mandatory to file form 23B for first auditor appointment by the board of directors? If board of directors had appointed the 1st auditor of the company, as per my knowledge no need to intimate the 1st auditor appointment to the MCA (i.e no need to file form 23B). But, while filling Form 23AC, there is a mandatory column of SRN of Form 23B. So what i do as we aren't filed Form 23B bcz appointment made by board of directors?

We are private ltd co. had filed charge in the year 1984 for Rs. 2lac. It was cleared long time back but failed to filed form 17 for satisfaction of charge. Now, we are unable to clear the charge as the Bank is not exist. Pl guide how to resolve this matter and clear the charge. We have visited to ROC but they told we have to file form 17 alongwith clearance Certificate.

MCA new rules:
All Companies collecting money from public should have a mandatory insurance cover for the collected public deposits.

Is this effective immediately or will there be a Govt Ordinance ?
