My CA says that in a section 25 company (with a paid up capital of more than Rs. 5 crores), a CA / Cost Accountant in full time employment of such a company can sign as a company secretary U/S 383A of Co. Act notification number 2/3/76 CLV dt. 9th jan 1976.

I cannot find the said notification and my CA does not a copy of the same.

In Private Company,Suppose there is a additional director which is appointed on 29th January 2013 and he our agm was mate on 21st September, 2013 .. then We need to Regularize such additional director through Member or not ?

My company has not yet filed ROC return for FY 2010-11, 11-12 and 12-13.
Now we want to file ROC return for all three year.
What will be fine and penalty? and
can I file return for 12-13 first and then 10-11 and 11-12.

What should be the minimum value of Private Limited company under Companies Act 2013? Can I issue 1,00,00,000 shares to me and other co-founder of company on paid up equity of Rs. 1 lack in Pvt. Ltd Company? In this case, Face value of one share will be Rs. 0.01 each. Is this possible under Companies act 2013?

as per section 263 of the Companies Act, 1956, different resolution is required for appointment of two directors but can we appoint two additional directors by single Board resolution in a public company or it is mandatory that different board resolution is required for this purpose?
