When directors doesnt have any interest they have to delcare that they are not interested in forst board meeting after incorporation

Even if directors dont have any interest we need to file MGT-14.

Section 184 : Disclosure of Interest by Director
The Act provides for the disclosure by directors relating his concern
or interest in any company or companies or body corporate (including
shareholding interest), firms or other association of individuals by
giving a notice in writing in form MBP 1 (Rule 9(1)) at the first meeting
of board after being appointed as director and at first meeting of board
of every financial year, in addition to this, any change required to be
disclosed in next board meeting

Any one Please clarify that, whether Company can issue, Optionally Convertible Debentures, convertible into preference shares.

Can an individual be a Whole Time Director in more than 1 company, if the members for those companies are same and registered office is same as well?

1. In case of appointment of Auditor for the A.Y. 2014-15, which Form is required to be filled.

This question pertains to Companies Act 1956 for private company:


Two names are mentioned as First Directors in AOA. They are not liable to retire by rotation. Should they file form 32 soon after incorporation with ROC?

1) Should one get DIN number BEFORE he even applies for INC-1 (Checking for name availability)?

2) How much it costs (Official charges) to get DIN number? Which form to use?

Should SH-4 i.e., share transfer form need be uploaded at mca website ? The basic question is - should MCA be updated about the transfer of shares that keep happening in private company?

Weather retainership appointment of PCS can be considered as whole time appointment as per CA Act 2013?

Suppose any Pvt Ltd Co (above 5 Cr Capital) appoint retainership PCS instead of whole time CS.

It is acceptable because as per CA act 1956 lot of cos. following these practices.

Is there any provision for the same?

Please Guide.
