xyz PVT. LTD. Company had not paid any dividend to its equity sahre holders during year f y 2021-2022, Company is in profit with appropirate reserves and surplus

I am struck with an error/warning message while uploading/filing the Form 11. The error was the DPIN entered is not approved DIN/DPIN.
-> The concern DPIN/DIN KYC was completed
-> Please suggest me any solution to resolve the issue

"Declaration of directors/ shareholders Previous name to be mentioned in Altered AAOA & AMOA with footnoting" this is the Message received on for filing Form MGT 14 and asked for Resubmission.

My Company has to declare dividend for the financial year 2021-22 out of the profit of the current financial year. Whether this dividend expense was allowable under income tax act. Whether it was taxable in the hands of the company or shareholder.

In respect of shares which are proposed to be issued on a right basis, existing members would have a right to renounce shares likely allotted to them. If the existing shareholders renounce their shares then these shares will be allotted to the renounce first time therefore no transfer will take place. I cant understand this paragraph.

I AM A DIRECTOR WITH A COMPANY WITH 5% STAKE .. REST IS WITH 2 OTHERS .. LAST YEAR THEY DECIDED TO CLOSE THE COMPANY .. BUT I WANTED TO TAKE IT FURTHER AND ASKED THEM TO TRANSFER THE COMPANY IN MY NAME .. IT WAS AGREED .. THERE IS SOME PAYMENTS PENDING TO VENDORS N CLIENTS N AUDITORS WHICH WAS DECIDED IT WILL BE PAID BY THEM .. LAST 2 YEARS EVEN THE AUDIT HAS NOT BEEN CONDUCTED

BUT SINCE THAN THEY BOTH ARE NOT COMMUNICATING .. I DO NOT HAVE ACCESS TO ANY COMPANY PROCESSES OR EVEN BANKING .. IT IS A GUJARAT BASED COMPANY AND I WAS PLACED IN BANGALORE .. FOR SURE THERE ARE NO TRANSACTIONS HAPPENING AS OF NOW WITHIN THE COMPANY

ANY ATTEMPT TO CONTACT THEM HAS BEEN FUTILE EVEN THROUGH OUR CA AND AUDITOR ..

I WANT TO KNOW WHAT PROCEDURES I WILL HAVE TO TAKE

1. GET THE COMPANY TRANSFERRED ON MY NAME ( WITH NEW DIRECTORS )
2. IF I NEED TO COMPLAINT THEN WHERE AND TO WHOM SHOULD I COMPLAINT
3. I EVEN HAVE SOME PAYMENTS TO BE MADE TO ME BY THE COMPANY .. HOW DO I CLAIM THAT TOO ..

Can anybody share the Resolution for the Intercorporate Loan from Public Co. to Private Co. and with the Point of Conversion of Loan into Equity if Company is not able to repay the amount on demand by the Company in future.

Hello Sir,
If HUF purchases any property on lease than what legal formalities it has to fulfill, is it same as of company. Do HUF has to pass any resolution or just authorization letter is sufficient to further deal .

Please guide the procedures adopted by a Company post receipt of share application money and also the format of Board Resolution for allotment of shares.

Do we have to file Form LLP-11 for the year 31.3.2022 if the LLP is formed in the 10.01.2022?
