xyz PVT. LTD. Company had not paid any dividend to its equity sahre holders during year f y 2021-2022, Company is in profit with appropirate reserves and surplus
As Per Companies Act 2013 with latest amendment applicable to Private Limited Company for F Y 2021-2022
Thanking You

09 July 2024 As per the Companies Act, 2013, there is no mandatory requirement for a private limited company to pay dividend on fixed percentage redeemable preference shares or equity shares in any given financial year, including FY 2021-2022. The payment of dividend is at the discretion of the company's board of directors, subject to certain conditions and obligations specified under the law. Here are some key points to consider:

1. **Preference Shares Dividend:** If the preference shares are redeemable and carry a fixed rate of dividend, the company is obligated to pay the dividend to the preference shareholders if it has sufficient profits and reserves available for distribution.

2. **Equity Shares Dividend:** Similarly, for equity shares, while there is no legal requirement to pay dividends, the decision to declare dividends rests with the company's board of directors based on profitability, financial position, and future capital requirements of the company.

3. **Profitability and Reserves:** The company's ability to pay dividends depends on its profitability for the financial year and the availability of distributable reserves as per the provisions of the Companies Act, 2013.

4. **Board of Directors' Decision:** The board of directors must exercise their discretion judiciously when deciding on the payment of dividends, ensuring that it does not adversely affect the company's financial health or liquidity position.

5. **Legal Compliance:** While there is no mandatory requirement to pay dividends in a particular financial year, the company must comply with the provisions related to the declaration and payment of dividends as per the Companies Act, 2013, and ensure proper documentation and reporting in its financial statements and records.

In summary, while a private limited company like xyz Pvt. Ltd. is not mandated to pay dividends on preference shares or equity shares for FY 2021-2022, it should evaluate its financial position, profitability, and future capital needs before making any decision regarding the payment of dividends to its shareholders.
