one of my client Pvt ltd company incorporated in the year 2009 and not commence any business operations till date, now the company wants to wants to wind up the operations through fast tract exit route.

1. whether CLSS 2014 applies to the company.
2. The company not defaulting in filing any documents with ROC.
3. Pre fill in Form CLSS 2014 details of documents filed under the scheme is NIl

I want to know whether CLSS 2014 applicable or not applicable for non defaulting companies choosing FTE.

Can anyone explain the meaning of below provision of section 52 (1) of companies act, 2013 (Application of premiums received on issue of shares):
