My co. is private ltd. co. I want to know which resolutions to be passed at 1 st Board meeting after its incorporation and which are required to file with roc.

In a big Govt Co where all the shares are held by the state Govt one director was appointed for three years. Then after expiry of three years again the director was reappointed for more three years. The second term will expire soon. Can the said director be again reappointed as director ? Pl advise as per Companies Act 2013. Not answered the query till now after 10 days.

What is the requirements of attendance with regard to Directors for attending Board meeting under the new Companies Act, 2013.

1. Can shares be issued at a price more than the book value of such shares.
For ex- Suppose, BV is Rs. 19, then can the shares be issued at 20 and above.(In case of a Pvt. Ltd Co).

2. Is there any penalty on issue of shares at a price higher than their book value.

3. Are there any circumstances where any restrictions are placed for issuing shares at a price which is more than their book Value.

If the Co. incorporated in Jan, 2014 meet the CA before AGM who has hold COP but whose Firm Name is under process with ICAI. AT AGM held on 15.11.2014.CA Firm Name Approves on 28.11.14. Can such Co. Appoint him as Statutory Auditor.

If Yes Than What are the Obligation by Co. and Auditor regarding his appointment.

Can A co. propose on 15.10.14 to a CA for his appointment as statutory Auditor.

After That CA would give consent and Auditor Certificate on 01.11.14. AGM Date is 15.11.14 as the Co. is newly Incorporated on 02.01.14

Whether it is mandatory to attach Form MBP-1 of all the Directors in Form MGT-14 or it is only INTERNAL COMPLIANCE FOR THE COMPANY TO COLLECT Form MBP-1 and KEEP IT FOR IT’S RECORD.

IS THE DIGITAL SIGNATURE OF A CA IMPORTANT IN FORM MGT 14 ????

IF YES , then while digitally signing the form, there is an error i.e the form is not accepting the Digital Sign of a CA and to sign the form the prefilled data has to be erased.
Please provide me the solution as soon as possible.
