What is the Procedure for Appointment of Whole Time Director in Private Limited Company as per Companies Act 2013.

Case:Due to Death of One of the Two Directors in Private Ltd. Company the number of directors have fallen below the Statutory Minimum.

Is there any Time limit under which the New Director has to be appointed to bring the number of directors to Two?

If Yes,under which Section of Companies Act, 2013

Earlier Sec 180(1)(c) was not applicable to the pvt. cos. but now it is applicable. One of my pvt. co. is already having borrowing exceeding aggregate of its paid up capital and free reserves.

What would be the remedy for this situation?

As per Section 62(3) if a Company pass a special resolution to convert Unsecured loan into Equity shares then whether it is compulsory to treat this as a Private Placement and issue Form PAS 4 to such person for allotting equity shares against unsecured Loan? Please guide ASAP.

I am in the process of change of company name and objects of the company under roc bangalore: Now INC - 24 has came for re-submission : asking for "declaration that the company has not defaulted in payment of matured deposits/ debentures and interest thereof " as required under rule 29(1) of the incorporation rules 2014" Please do provide the format as last date for re-submission is very near. kindly help please
