Sir, a company has 3 directors of which one wants to resign, can the company pass a resolution in the board meeting with 2 directors one of which is going to resign and the third director not present at the board meeting.

If a company fails to appoint its first auditor within 30 days of Incorporation and also fails to appoint by calling EGM what shall be the consequences?

I am being approached by the company for statutory audit on 28.09.2016. The date of incorporation of the compnay is

Can a Pvt. Ltd company held all its Board Meeting at any place in India . In my case Registered Office of the Company is in Pune , but now Directors are living in gurgaon , Nodia. can all Board meeting held in Noida and only AGM held in Pune.

In fy 2013-14 when as per the companies act 2013 all the pvt ltd companies were restricted to borrow funds from outside, son of the director of a pvt ltd company became a share holder of the company and after that the said pvt ltd company borrowed funds from the said share holder. Whether it was one kind of violation of companies act 2013 ?

OR the declaration to be given to company and to be kept with the company only.!

I have a query relating to KMPs. Our company is having Country Financial Controller (CFC), a company Secretary, MD, Manager, since MD, CS and Manager is considered as KMPs as per Companies Act,1956 as well as per Companies Act,2013, then in such a case is whether Country Financial Controller (CFC) is considered as KMP as per AS-18 & as per Companies act,2013

If CFC is a KPM then is he have a right to sign Financial Statement and need to give disclosure in Management Representation Letter.

Dear All,

One of my client is having wholly owned subsidiary in India and Parent Company is in UK. UK company holds 100% shares except nominee share holding by indian person. UK Company wants to pump up money into subsidiary to run and expand the business. Can any one please help me out that how to fuel money like Loan would be best or not and its implication with the procedures?
