For a Listed concern If there is change in Other Object Clause of the Company and the company wants to adopt that object after the change.
Can we get the Board resolution passed by circulation instead of calling a Board meeting and then start the Postal ballot process.

One compnay has transcation with group for purchase but both r public company so sec 297 is not attracted here, but one co. has created two diff. account of another company in one of which transaction of purchase & in another account transacation of money lending & borrowing , whther it attract any section or not

When a company issues / allotes shares to the shareholders what is the date coming on the face of share certificate?

Suppose a company makes allotment of shares on 01.08.2009, prepares share certificate on 20.08.2009 and affix common seal and get it signed on 25.08.2009.

Then what will be the date coming on the FACE OF share certificate mentioning :

DATED THIS DAY OF 2009

Will this date be the date on which directors signed the share certs or the date of allotment of shares ?

We having one private limited comany and we want to sale that company means actually one party wants to take over that company so tell me the procedure of takeover and also documents required to be file for MCA etc.

What is the requirment for takeover to that party?because that party is not our shareholder.

Suppose a Company has passed a resolutions for alteration of Memorandum and Arciles and as well as for issue of bonus shares(special resolution)in EGM and all the three resolutions were attached with Form 5 so is it required to file form 23 for issue of bonus shares at the time of allotment and section 81 is not applicable to the company.

Technically company has already registered that bonus issue resolution with ROC!!

Query regarding Digitally signing the Form :

A is a director in various companies.

A is also a professional say CA/CS.

For instance, A wishes to file Form 32 for appointment of a director in his company.

A will digitally sign in the capacity of a director.

Whether A also can digitally sign in the capacity of a CA/CS.

If A signs, will it be viewed as non-compliance by ROC ?
