Please help me with the basic and initial requirements for getting a private limited company getting registered / incorporated.

Dear Sir,

In A Ltd., Mr.1 & Mr.2 have transferred their beneficial interest to Mr.3.

As per Beneficial Interest rules, 1975 - Form I needs to be signed by both Mr.1 & Mr.2 seperately and declare to company.

Form II to be siged by Mr.3 and submit to company.

My Query is - At the end of FOrm II i.e. Certificate - who needs to sign the same?

IS it Mr.1 & Mr.2 or Mr.3?

I have filed 23AC,23ACA and 20B for one of my clients.and i generated the challan for it.
Now I want to make the payment through credit card.
Is there any way to do so now? as the option did not appear again like online payment,credit card and challan.

What are the additional compliance requirements that a company has to follow once it gets converted to a public limited company?

Why do some companies hesitate to convert their private limited company into a public limited company?

ABC Private Limited issued share certificates with date 30.09.09.

Now, ABC is changed to XYZ on 31.10.09.

Vide Board Meeting dated 15.11.09, Company takes a decision to issue certificates with changed name of the company after collecting back the old certificates.

Query :

When the company issues Share Certificates in the new name 'XYZ', what date should be mentioned in the Certificates. That is, whether the date should be '15.11.09' (valid) or the old date '30.09.09' (invalid).

Experts' may express their views.

As per co.s act a pvt. ltd. co. is exempt from the managerial remuneration provisions that are applicable to public ltd. co.s. Can anyone tell me what is the procedure of fixing remuneration of M.D or the other directors in a pvt. ltd. co.

While filing form 23AC, the size of file is 2.45MB but as soon as i prescrutinise it and save as the file in some other name the size of the file exceeds to 3.1MB. So it is not getting uploaded.
What should be done?
