Hello, I have few questions related to registering a New Pvt. Ltd. Company.

1) Can I choose the same name for my New Company that is already registered / existing in the US or elsewhere but not in India? There will be no tie-up, partnership or any relation with those similar name Companies though.

2) Is there any rule which states that I have to start functioning this New Company within the specified time line after its Incorporation?

3) What are the differences between "Comany limited by Shares", "Company limited by Guarantors" and "Unlimited Company"?

Can I apply for Digital Signature Certificate through On-line? What are the procedures to do it in On-line? When I try to do it through Tata Consultancy Services in on-line, a message to contact with Registration Authority is displayed.

can dirctor be a chirman of AGM ?

on verifying the status of form - 8 filed the same is put under hold due to following remarks

Form8 having status Held in Abeyance is pending in respect of the same Charge Id mentioned in the form. Form 67 (Addendum) should be filed failing which the eForm shall be treated as invalid and shall not be taken on record.
We want to Nullified the Filing of Form .Please suggest the process.

A person is holding shares of Rs 10000 nominal value, is he eligible to be appointed as a director..
the act says the qualification shares shouldn't exceed nominal value of Rs5000 and in the same way the act says previously held shares before appointed as director should be taken as qualification shares .
my question is can - can he be appointed as director??

in a board meeting, when a meeting is adjourned for want of quorum, and even in the adjourned meeting IF there's no quorum..
(a)what happens to the meeting?
(b)should it be adjourned till the required quorum is present?

is it possible to upload a form 23ac without filing 23b for the yrs 2002 and later years. if so up to which yr. to my understanding it is not possible. but certain others are saying that it can be done.

dear experts,

my company had three directors in 2005, it is a pvt. ltd. company.
in 2006 one of the directors resigned and due to some neglegience the form 32 was not entered in the ROC.
now when we ahve realised this mistake we want to submit the resignation but we do not have the DIN number of the retired director and their is no possibility of getting it as well as the terms with him are not very cordial .
kindly suggest how the resignation can be accepted and filed.
