i would like to know whether resoluions are to be written on ordinary paper and then signed by directors or that they should be on the letter head of the company.

Dear Experts,

Now physical documents submission is not required if any one is paying the stamp duty online on company incorporation documents.I wanted to understand how far online payment of stamp duty is applicable on the POA.I don't find any provision for paying stamp duty for POA.Please clarify whether POA submission is still applicable or without POA submission I will be able to incorporate company.My only apprehenssion is when there is any correction demanded from the ROC how am going to carry such changes.

The Investor Company appointed director in the Pvt Ltd Company as per the Clauses of Shareholders Agreement. Now the investor Companty replacing some other person as a nominee director. My question is, whether it is required to obtain the resignation letter from First nominee director to give effect to the appointment of new nominee director?
