What are the necessary steps required for the change of directors of a private company?? kindly reply urgently

If resignation, the there should be board meeting approving the resignation and then file form 32 for resignation
If appointment of additional director, then board meeting is essential and then file form no.32 for appointment.
If directors appointed at AGM, then file form 32 for appointment.

Thanx. now i have a further query
The Additional Director has been appointed
now i have to incorporate his name on the MOA
Kindly note that the above said appointment was in pursuant to the death of the other director.so what is the procedure for that
Kindly remember also, that now by adding the above said director 2 directors remain in the company

In case of death of a director there is no need to change the name of your deceased director in the article.
In other words there is no need to mention the name of new director in the articles or MOA.
