A company in its Extra Ordinary General meeting held on 01st September, 2010 passed a resolution for change in name. The accounts of the company were finalised on 04th September, 2010.

So in the financial statements of the company being signed whether the new name should be used or the old name should be used as approval from ROC for change of name has not been received by the company at the time of signing the financial statements though the relevant forms were filed by 3rd September, 2010?

Dear Experts,
Please guide me on following points:
1) Can a office of the Company secretary remain vacat due to the resignation of the company secretary.
2) What are the condition if office of the Company secretary remain vacat in the company and what are the consequance for the same.
3) Our company is listed with stock exchange and we have appointed the Compliance officer for compliting the compliance of the company. But still company secreary is not appointed. Out Authorised capital is more then Rs. 10. Cr
Please guide me on the above points.

I have filed Form I MOA AOA and relevant forms online.....and have received email from ROC regarding correction to be made MOA and signature page...

do i have to make correction on physical copy as per roc guidelines and upload the same showing corrections made.....or can i submit a fresh MOA AOA as per roc guidelines?

Who should sign the notice of AGM/EGM? Kindly mention the provision.

One of my client company is private limited company where there are four directors and one of them is CA in whole time practice. My query is can he company appoint a director as a statutory auditor and can this person sign the balancesheet in both capacity i.e.as an auditor and director

The company has entered into an agreement dated 15.03.2010. Under section 297 of the Companies Act for which approval of Board is required.
So I would like to ask on what date such Board meeting should be held.can i take any date in february

Plz forward a specimen resolutuion under section 297.
