What is the procedure to change other objects of a company.

In case when a pvt company is converted to limimted co or when a limited co is conversted to pvt co, then is it necesarry to adopt other objects as they are before conversion.
What are the provisions in relation to other objects,
And plz tellme the procedure to alter the other objects.

I want to clarify one doubt regarding Presentation of Accounts.
i.e. M/s.ABC Ltd providing consultancy services & received the amount after TDS.That TDS was accounted by ABC Ltd under head of Loans & advances(assets).That doing accounted the TDS for the Past two years under the same head.When it will be utilized?Actually every year it use the TDS when compute the Tax Liability(Tax payable-TDS=Self Assessment Tax).But there is no entry provide for that.Actually how it should be presented in the accounts of a company?

My company, a pvt. ltd. company is looking to insert a new clause in the Memorandum, in the "Other Objects" part. Is the approval of the CLB expressly required for this or will approval of the ROC (thru eForm 23 and other) suffice for this?
