A Company has buy backed its shares at Premium.
It has credit Balance in P/L Account & Securitium Premium balance.

Now i want to ask whether Securitum Premium can be utilised for payment on buy back.
or i have to use credit balance of P/L Account due to restrictive use of security Premium Account stated U/s 78.

Sir/Madam i need to know:-
• Whether it is true that

“Property of the partnership firm cannot be deemed as property of the partners and that They are two separate things” ?

• Which section or case laws relate to it?

If company issue shares at premium whether Whether authorised share capital of company for security premium amt will be increased.

Kindly clarify my query as under :

If I need to obtain Certified Copy of Amended Articles of Association from RoC, should I opt only for the Amended AOA or
the entire Form 23 including all the attachments to Form 23

or

What is the appropriate way ?

Hi all
It would be most helpful if someone can shed some light on the following matters.

A private limited company and formed and certificate of incorporation has been issued on 24.03.2010.

What are all the statutory requirements to be followed by the company regarding :
1. holding of AGM
2. filing of annual returns.
3. Appointment of auditors.
4. No of board meetings that should have been conduted.
5. whether the AGM conducted can be inclusive for both financial years, i .e., 2009-10 and 2010-11
and also any other matters to be taken care off.
