I need to ask about if a rotational director had died and we filed casual vacancy then what will be the tenure of new director and how he will be a non-rotationla director?????

I am trying to file Form 23B.

In the signature field, if I attempt to pick the DSC, I am not getting the signing option only for Form 23B, while I am able to sign and file all other MCA e-forms.

Can someone clarify me why I am unable to affix the DSC only in Form 23B ?

Company A has a limit of Rs.100 crores under section 372A as per last audited accounts. It has invested and has given loans to bodies corporates to the tune of Rs. 80. Also it has given corporate guarantee of Rs. 50 by getting approval of Board for which ratification is pending in AGM/EGM.

In the meantime, It requires to give loan of Rs.10 to other bodies corporate with in the balance of limits avalaibale under section 372A ie Rs. 20 (Rs.100 total limit as per audited accounts less Rs. 80 already invested).

Can we do this? kindly arrange the view with case laws if any.

If a company changed its name from ABC pvt. Ltd to XYZ Pvt. Ltd & further after some time it again wants to restore its name as ABC PVT. LTD. after what time of the first name change can the company do so i.e. (again change its name to ABC Pvt. Ltd). Kindly quote the relevant sections.

Can we revise audited balance sheet, if yes what is the procedure and what is the time limit.

Company xyz was created on 22-10-2007. First Annual return and financial statements were filed for the FY 31-3-2008 as per section 166 read with section 210 of the companies act 1956.
Now company wants to change its auditors for the FY 31.3.2009. What is the procedure for it.
Company is filing its returns under CLSS.

OR

Can the company opt to hold its first AGM on 21-4-2009. In that case the auditors appointment is required to be made only after 7-7-2009 because the firm came into existence on 6-7-2009. Is it possible

I want to windup a pvt company by fast track exit mode 2011 of MCA. company is not active.

In fast track exit mode scheme it requires a affidavit by all directors and a indeminity bond as a attachment.

Whether any stamp duty is required for indemnity bond and affidavit ?
