One Public Limited Company wishes to Sale its loss making division to One of its 100 % Subsidary..
This Sale is a Demerger or what???
Is yes, then what should be the procedure followed for such demerger???

Yes, this is demerger.
BoD of both companies should approve the scheme, and should apply to respective HC for holding meeting.
Further orders will be given by HC.
