i.e. M/s. JKR Pvt Pvt Ltd has stopped its business on 31.03.2011 & it's statement of account is as follows

Share capital is Rs.1000000
Reserves & Surplus(P & L) Rs.500000

Cash Rs. 1500000
Now it has decided to repay the share capital with Profitas it is going to winding up.Is it valid?

Facts:

- At the time of Incorporation of the Company We have mentioned the clause in MOA & AOA to Takeover the running Business of Propritorship, which is fully hold/owned by the person who is also Director in the Incorporated Company.

Now, he (Director) wants to carry out all his propriotership Business including its all assets/liabilities in the incorporated Company for that purpose the said Agreement is to be done.

I have applied for a new name
vIZ: Vinith International Pvt. Ltd

It got rejected on the ground that the name is not inaccordance with the object clause in the moa

please suggest me what should I add in between the proposed name.

there are three company A,B,C amalgamated and comes with new company ,D' but they give the old name to the new company as ,A' as per the which section of company act, 1956 the company make violation.
