Does all the listed companies need to comply with Corporate Governance regulations?

I WANT TO INCORPORATE A NEW COMPANY IN WHICH THE PROMOTERS ARE CITIZEN OF INDIA BUT NON RESIDENTS, THEY RESIDE AT RUSSIA (MOSCOW)
THE PROMOTERS ARE ALREADY DIRECTOR AND PROMOTER OF AN EXISTING COMPANY.
WHETHER NOTARIZATION OF MOA AND AOA AND SPECIAL POA IS ENOUGH OR ATTESTATION REQUIRED BY INDIAN CONCILIATE.
PLEASE CONFIRM WHAT OTHER DOCUMENTS ARE REQUIRED FOR INCORPORATION OF A COMPANY LIMITED BY SHARES.

i applied for company name approval in form 1a, mca replied me as resembling name
does it mean, i should change in name of company or i can change object accordingly company name ?
if i want now to change object of co., can i do so or not ?

Can anyone explain which is the due date for filing Annual return for a Foreign Company, As per Application of section 159 to Foreign Companies Rules 1975 "Every foreign company having a share capital shall in each year prepare and file with the Registrar, within sixty days from the last day of its financial year"

Please explain "its financial year" whether as per Indian Financial year (Apr to Mar and due date is 29th Jun) or Foreign Companies Financial year (Jan to Dec and due date is 29 Feb or 1st Mar res..)

For filing Accounts of Foreign Company within a period of nine months of the close of the financial year of the foreign company to which the documents relate,

Please explain "the close of the financial year of the foreign company" related to Foreign Company suppose FC follows Jan to Dec, then 9 months from Dec i.e Sep.

Can a Private limited Company lend money to a Partnership firm?
If yes then what formalities or procedure to be followed?

My client has increased share capital from 50 lacs to 150 lacs whether any requirement to make AOA and MOA in seperate copy for private limited company...? If yes than what is the reason and any notification is issued than also mentioned...
But generally AOA and MOA printed in combined booklet whether it is required to print seperately for AOA booklet and MOA booklet...?

I have a query regarding appointment of a WTD in an Unlisted Public company with remuneration
•Appointed as additional director on 1.04.2012
•Appointed as WTD by BOD w.e.f from 08.04.2012
•Now we need get the appointment ratified by the Members.
•Is there any time limit to call an EGM?
•Or the time limit is only for filing of 25C(90 days from appointment)
