In a real estate company we have to execute various sale deeds on routine basis & we pass BR for the same, it's frequency is 3-4 per week. As per SS-1 we have to serve notice for calling any BM and it's nt feasible to call BM thrice a week. Accordingly, can we constitute a Committee of Board of Directors, comprises of 2 Directors, who will possess the power to sign sale deeds etc on behalf of the Board. Since, it will not be a mandatory committee SS-1 may not apply. thereafter we will present all the resolutions so passed by the committee in the next BM for the ratification of the board.

I had raised SR for incorporation of company which was sent back for re-submission. While uploading the revised documents the error as "Mismatch between forms submitted and forms marked for resubmission"

Please advise resolution for the same.

Dear members,a pvt ltd company has earn net profit of rs. 6 crores in financial year 2018-19 but in previous financial year 2017-18 and 2016-17 and 2015-16 it has a loss in the business if csr rules applicable in the company, if yes what is the date when the csr commitee has been established?

A Pvt LTD company has been incorporated 2 months back and they have not started the business yet. Now one of the director's in MOA wants to appoint another individual in his place. Further the new individual doesn't have a din. What is the procedure and forms to be filed for such change.

At the time of original submission, I had paid stamp duty through MCA21 portal
now how should I proceed with following questions:
1. Whether stamp duty is to be paid electronically through MCA21 system? - YES/NO/NA
2. Provide details of stamp duty already paid
