Company incorporation error by roc

I incorporated a pet ltd company with 1 lac as authorised capital and Rs 2000 as the issued capital. This is allowed as per latest company law.

We wanted to issue 100 shares of face value Rs 10/- to each of the 2 founders aggregating to Rs 2000/- of issued capital. This is clearly stated ins AOA/MOA however ROC put the face value of Rs 500/- instead of Rs 10/- and issued 100 shares each amounting to issued capital of 1 lac instead of Rs 2000.

The AOA/MOA still shows face value as Rs 10/- but shows Rs 500/- as face value in ROC.

How can I get this fixed? Is it possible to find an amendment request with ROC for this?

Can anybody provide available options to me?

Opening a branch office in other state

Respected Sir,
We incorporated a private limited (education) company in (ROC)Delhi. Its not running well here so we are planning to shift our hometown Hyderabad to open a branch there.Is it possible without working at registered office address working from there?.And what is the procedure to initiate classes there.please help us .Thanks and regards

Depreciation as per slm method

Dear experts,
Assume i have purchased machinery on 3/12/2015, of Rs. 100000/- and it's useful life is 10 year, however dep. As per SLM is 4% and dep. As per income tax is 15% plz provide me the method of dep. Calculation as per SLM with an example....

Relaxation of fee or refund

Is there any way to refund the money from mca site? actually we had raised the ticket in the mean while daily 100 rupee charged by mca of form 8 of llp can we claim? fee of rupees 50 but after late filling due to late answer have been given by mca staff. now we uploaded form and pay 1250 plz sir/maam help me

Giving advance to rent

Hi sirs, Mr.A want to establish one private company and he taken one rented premises for reg.office for proposed company and Mr.B want to paid advance money to reg.office and he is not connected to proposed company ,is it possible to take rent from Mr.B ?

Since Special resolution is not required to be pass in case of private limited company in case of 180(1)(c) Then Can the company borrow in excess of the limits.??

If yes , then what resolution reqd to be passed and is it required to be filed in MCA

Number of board meetings

A company was incorporated on November, 2014. How many board meetings shall be held for such companies for the year ended 31st March, 2015.
Also can somebody help in fixing the dates of such board meetings...

Dear Experts,

From what i read regarding issue of shares with differential voting rights as per Companies Act, 2013, I learnt that even pvt ltd companies can issue shares with DVRs after following certain provisions

However i wanted to get a few of my concerns resolved
1. Can a pvt ltd company issue shares with DVRs with superior rights as to voting like 1000 votes per share?

2. Can a pvt. ltd company issue shares with DVRs of face value Rs. 10 at 1200 per share (At the same value at which it is offering its ordinary share capital)

3. If it is allowed to offer shares with DVRs at above mentioned value of INR 1200. Will any tax liability arise in the hands of the company?

As per my understanding, provisions of Sec 56(2)(viib) of Companies Act will become eligible which states that aggregate consideration received in excess of FMV of the shares will be chargeable to income tax as Income from other sources in the hands of the company.

Please reply asap.
