Dear All,

One of my client is having wholly owned subsidiary in India and Parent Company is in UK. UK company holds 100% shares except nominee share holding by indian person. UK Company wants to pump up money into subsidiary to run and expand the business. Can any one please help me out that how to fuel money like Loan would be best or not and its implication with the procedures?

Please guide me.

To perform functions validly a board must have minimum no of directors. If minimum no is not there then the board is not valid one and become incapable.Can a single director of a pvt. ltd. company call a bd meeting to appoint addl. dir in case no. of directors fall below the statutory minimum?

I am trying to upload the INC 7, Dir 12 and Inc 22, When I am trying to upload the following error shown forms getting submitted is/are not prescrutinized" The form level prescrutiny didn't show any error and showed no prescrutiny error found. Thanks in Advance

Do we need to appoint all the director in the first AGM of a private limited company?

Query: Mr. A, is a director of a newly incorporated Company and i.e. ABC Pvt Ltd. Which has been incorporated on 30th September, 2016?
Mr. D is Brother of Mr. A, and a practicing Chartered Accountant.
ABC Private Limited Approaches to Mr. D and ask him to convey his consent to be appointed as First Auditor of ABC Pvt. Ltd.

1. Is Mr. D eligible to be appointed as First Auditor of ABC Pvt. Ltd. ?
2. If Mr. A will Resign from Directorship w.e.f. 5th Oct, 2016 and thereafter can they appoint Mr. D as First Auditor let say from 20th October, 2016 ?

Please give reference if there is any guideline issued by ICAI in this regard.
