1- If, in Private company the number of director is less than the two, what is the penalty and default on that situation?

2- If, in Public company the number of member is less than Seven, than what is penalty and default on that situation?

please reply with section...

(can any default or penalty as per the companies act in above two situation)

Hello Everyone,

why there is mandatory field of Mothers maiden name in digital signature registration of director in the mca website.

As per my knowledge Mother name is not required in any form for incorporation of a company, so why they ask for it in registration of digital signature ?

Section 295 - loan to director

Dear all,

If a Public Ltd Co., gives unsecured loan to Private Ltd Co., wherein the public ltd co., holds 50% of shareholding and the Managing Director of Public Ltd Co. is one of the director in private co. which consist of total 2 director. Further the holding of MD alongwith their PAC in public co. is 14.44%. Would this attract Section 295 of Companies Act, 1956.

Urgent query_maintainence of records

If a public limited company (un-listed) met with a contingency and lost all its records including the statutory registers and counter folio of share certificates in fire; what way out does the company has to maintain its records again. should it ask its shareholders to send a copy of their share certificates for maintaining the records of its members or CAN THE COMPANY ISSUE FRESH CERTIFICATES WITH FRESH FOLIO AND DISTINCTIVE NUMBERS?

We are proposing to appoint a Director in Private limited Company, who is a Foreign National for whom we need to obtain approved Din (Director Identification Number) from MCA.

Right now the appointee is in India for some days. My question is if the proposed Director for whom DIN has to be applied is in India, then can he sign Din Annexure-I, copy of passport in front of Practicing Company Secretary.

We can attach his Visa copy proving his availability in India on the day of signing the documents.

In that case is it still necessary that the documents and the photograph should be attested by the consulate of Indian Embassy or Foreign public notary or because he is in India he can sign the documents in front of the praticising C.S?
