Can appointment of directors be made through Circulation in Private limited company? Do the directors which are appointed need to be reappointed as whole time director in the next AGM with the Salary paid to them? What is the process and what resolutions need to be passed, please provide me.

My job offer letter has the following clause:

"Notice Period:

During the probationary period, either party can terminate the employment by giving one month's notice or one month's salary in lieu of notice, to the other party."

In the above case do I have the option to pay one month's salary at my own discretion and leave the company. Or do I compulsory need to serve one month's notice.

The firm has registered in Jan.2012.
Till now they did not file any returns at all.
In the month of Oct,2012 One of the partner has been removed.
Is their any need for fresh registration of partnership deed.
what is the last date to file the return.

We have a flat in Mumbai where I am the Co-owner while my younger brother is the Primary owner. Now we want to mutually transfer this flat in our Mothers name.
