Which laws are applicable for given transaction

Dear All,

Transaction- Purchase of Machinery from Singapore by Indian Company is to be made.

Query- Which Laws are required to be complied for payment on account of purchase to be done(Eg: FEMA, Income Tax, RBI, etc.)

Please reply asap.

Filing of form 23b

as per the latest circular we are required to file 23b till 4th august 2012. But if a company is incorporated 4 yrs ago, do we have to file 23b only for 2011-12 or with respect to all the years since the year of incorporation of the company??

can any one tell me that additional director appointed under section 260 can be retired under section 256?

i mean can an additional director is subject to retire by rotation?
