In a Board meeting of 10 directors 8 were interested of a particular transaction including chairman of meeting...among non interested directors one director voted in favour and other voted against concerned item..how to deal this..

Assuming your particular transaction falls under ambit of 188(1) than a special resolution to that effect should be passed.
