Can member who has obtained the COP(Member of the institute from 2007 onwards) in the month of May 2009 can be appointed as an auditor for the financial year 2008-09 for an private limited company?

Since the auditor must have been appointed in last year's agm and he was not a COP holder then.

Dear Colleagues/ experts
The facts of the case are, companies last AGM was held on 30th september 2008.In that AGM previous auditor was reappointed . But the auditor has not accepted and expressed his unwilling ness to act as an auditor.(in the month of october) And so far no auditor was appointed for the financial year 2008-09.Please share your views.

I think in this case only the central government will appoint auditor for the company.
