It is necessary for Appointment of Internal Auditor of the Company needs to pass the Board Resolution.

OR

We can give just letter to them for appointment.

In a listed company, it is required to appoint an internal auditor in Board Meeting and the same will also be take note in the Audit Committee Meeting regarding appointment of internal Auditor.
