04 September 2013 Can a private company modify its Annual Report and change the venue of the AGM after it was circulated to sghareholders but before 21 days?

Yes, you can change the place of venue of AGM through Board Meeting ans send notice of the same to shareholders.

04 September 2013 If we do not mention the venue, instead just write the name of the city in the notice, does that comply with the law? We are a Private Company having only 3 shareholders. We will intimate the address of the venue later on when the same is finalised. Can we do this?

04 September 2013 Every notice shall specify the place, day, date and hour of the meeting and shall contain the business to be transacted at the meeting. While sending the notice, due care should be given to the manner of sending the notice as prescribed in section 53 of the Act. Thus, the notice shall be deemed to have been properly served, if the envelope containing the notice is addressed to the member concerned at the address given by him to the company and the envelope is sent under Certificate of Posting. The envelope shall be sent by registered post where the member has desired the company to send the notice to him by registered post and has deposited sufficient amount with the company for the purpose.

05 September 2013 But sir, what is the definition of place? If we mention the city of registered office where we are holding the AGM but not the exact venue of AGM because the same is yet to be finalised. Can we do the same? If the venue is changed due to some unavoidable reason after sending the notice, what will be the procedure for intimating about the new venue? Please suggest.
