What is director remuneratin in diffrent Situations. Pls help. Me

Dear Friend
As per section 198 of companies act 1956
Provisions of Directors remuneration is below under two situations.
1. In case of Adequate profits.
Total remuneration should not exceed 11 % of Net profits of the company for the F/Y
2. In case if In adequate/No profits.
No company should pay any fees / amount to directors without the permission/approval of CENTRAL GOVT and comply with sections 309,310,310 and 311 and read with sections 387
