If you read Form-23B, it does not restrict to file Form-23B by first Auditor. So i will suggest you that, as a good corporate practice, you can file Form-23B with ROC.

01 August 2012 23B filing is mandatory for those auditors appointed through general meeting meaning thereby 1st auditors appointment need not be informed through 23B.
