please confirm me, whether declaration under section 187C and f-22b is sufficient or any other compliance is also required to make a private company 100% subsidiary of another private company under same management?
Kindly provide me the exact procedure.

Yes, You are right, please file Form-I and Form-II as mandatory attachment of Form-22B with ROC.
