27 April 2012 What is the meaning of Whole Time Company Secretary as per the companies act 1956. Whether the said whole time secretary is required to be on the payroll(employee) of a company having paid up capital in excess of rs.5 crores

Yes, it will be appointed as whole time company secretary at a remuneration decided by Board. and if such employee get remuneration more than 5 lakh a month then it is required to be disclosed in director report under section 217(2A) of the Companies Act, 1956.
